NO PURCHASE NECESSARY. OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES AND CANADA (EXCLUDING QUEBEC) WHO ARE 18 YEARS OF AGE (PROVIDED IT IS THE AGE OF MAJORITY IN THE STATE OR PROVINCE OF RESIDENCE) OR OLDER AS OF DATE OF PARTICIPATION. THE PROMOTION IS INTENDED FOR LOCATIONS WHERE PROMOTIONS ARE NOT PROHIBITED BY LAW AND SHALL BE CONSTRUED ACCORDING TO, AND GOVERNED EXCLUSIVELY BY, UNITED STATES LAW AND THE LAWS OF CANADA, WHERE APPLICABLE.   1. PROMOTION PERIOD: The participation period for “The IT Pro's How-to Guide to Building a Strong Security Culture” webinar promotion (the “Promotion”) begins on September 19, 2024, at 9:00 a.m. Eastern Time and ends on September 26, 2024, at 1:59 p.m. Eastern Time (the “Promotion Period”).  By participating in the Giveaway, each participant unconditionally accepts and agrees to comply with, and abide by, these Official Promotion Rules and the decisions of KnowBe4, Inc. (“Sponsor”), which shall be final and binding in all respects.
  2. ELIGIBILITY REQUIREMENTS: In order to be eligible for participation in the Promotion: 
  3. you must be a legal resident (must be legally domiciled) in the fifty United States (including District of Columbia) and Canada (excluding Quebec or residents of locations where giveaways are restricted or not permitted), and 18 years of age (provided it is the age of majority in the State or Province of residence) or older at the beginning of the Promotion Period; 
  4. you must register for, and attend, “The IT Pro's How-to Guide to Building a Strong Security Culture” webinar taking place on September 26, 2024, at 2:00 p.m. Eastern Time; and
  5. you must be one of the first 125 participants that registers for, and attends, the webinar.

 

Each participant (hereinafter referred to as a “participant,” “you,” or “your”) who meets the eligibility requirements in Section 2(A)-(C) above shall be referred to as a “Recipient.” 

There is no purchase, cost, or other similar future obligation required in order to participate in the Promotion. Employees, consultants, officers, and directors of Sponsor, their respective parent companies, affiliates, subsidiaries, Promotion partners, or agencies (“Sponsor Entities”) and members of the immediate family or household of anyone so employed are NOT eligible to participate in the Promotion or accept a Gift. 

Each Recipient represents that any acceptance of a Gift by them will be in compliance with their organization’s internal gift policies. Government officials represent that they will not participate in the Promotion if the Promotion is not in accordance with anti-bribery and corruption laws that may be applicable to them. The offer and acceptance of a Gift is subject to various economic sanctions and other restrictive trade measures administered by the U.S. and other applicable governments, including, without limitation, the economic sanctions laws and regulations enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), 31 C.F.R. §§ 500, et seq.  The Promotion is void where prohibited by law.

  1. HOW TO PARTICIPATE: To participate in this Promotion, you must meet all eligibility requirements in Section 2.  As a participant, and subject to availability during the Promotion Period, you may be eligible to be a Recipient of a handheld Space Invaders video game (approximate retail value $72.40 USD) (the “Gift”). Please note that to be a Recipient, you will be required to provide your contact information, including your name, company, corporate email address, corporate telephone number, and a physical mailing address. By providing your contact information, you represent that you explicitly consent to the Sponsor contacting you by mail to send the Gift. If you do not consent to the Sponsor contacting you by mail to send the Gift, do not provide your physical mailing address.  There is a maximum of one (1) Gift per person for this Promotion. 

Sponsor reserves the right to stop the Promotion early and, in its sole discretion, may present the Gifts to the first 125 participants who registered for the webinar during the Promotion Period. Sponsor also reserves the right to extend or modify the Promotion. The Sponsor’s database clock will be the official timekeeper for this Promotion. 

  1. GIFT RECIPIENTS: Each Gift is non-transferable and may not be sold, redeemed for cash, or otherwise substituted except as provided herein. Sponsor reserves the right to substitute a gift of equal or similar value in the event the offered Gift is unavailable for any reason. The Gift(s) will be available to the first 125 participants that registered for, and attended, the webinar in accordance with these Official Promotion Rules. Recipients shall be solely responsible for all federal, state, and/or local income taxes on the Gift and any expenses in excess of the Gift amount. Recipients may be asked to return a complete and accurate W9 form to Sponsor in order to claim their Gift.  

Each Recipient may be notified using the contact information available and may be required to sign and return a Declaration of Eligibility & Liability Release and, where legal, a Publicity Release within five (5) days of notification attempt. Noncompliance within this time period may result in disqualification.

  1. CONDUCT: BY PARTICIPATING IN THIS PROMOTION, YOU: (A) FULLY AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF SPONSOR (WHICH DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONS REGARDING ELIGIBILITY, RECIPIENTS, AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; (B) REPRESENT AND WARRANT THAT ALL INFORMATION PROVIDED BY YOU IN CONNECTION WITH THE PROMOTION IS TRUE, ACCURATE, AND COMPLETE; AND (C) AGREE TO COMPLY WITH ALL FEDERAL, STATE, LOCAL, TERRITORIAL, AND PROVINCIAL LAWS AND REGULATIONS. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND AT ITS SOLE DISCRETION, TO DISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS PROMOTION OR ANY FUTURE SPONSOR PROMOTIONS, ANY INDIVIDUAL IT SUSPECTS: (A) TO BE TAMPERING WITH THE PARTICIPATION PROCESS OR THE OPERATION OF THE PROMOTION OR ANY WEBSITE; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR SPONSOR’S PRIVACY POLICY OR OTHER TERMS, CONDITIONS, OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR IN A DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN, OR HARASS ANY OTHER PERSON; (D) TO HAVE FAILED TO AGREE TO THESE OFFICIAL RULES; (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES; OR (F) TO BE IN VIOLATION OF ANY LAWS WITH RESPECT TO THEIR PARTICIPATION IN THE PROMOTION. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE PARTICIPANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW INCLUDING, WITHOUT LIMITATION, CRIMINAL PROSECUTION.
  2. RELEASE AND INDEMNIFICATION: BY PARTICIPATING IN THE PROMOTION, EACH PARTICIPANT, FOR PARTICIPANT AND FOR PARTICIPANT’S HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS, AND ASSIGNS FOREVER AND IRREVOCABLY RELEASE AND AGREE TO INDEMNIFY AND HOLD THE SPONSOR, AND EACH OF ITS RESPECTIVE OFFICERS, AFFILIATES, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, SHAREHOLDERS, SUCCESSORS, AND ASSIGNS (THE AFOREMENTIONED INDIVIDUALS AND ORGANIZATIONS COLLECTIVELY, THE “RELEASEES”) HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE PROMOTION, ATTENDANCE, OR PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY GIFT PRESENTED IN CONNECTION WITH THE PROMOTION INCLUDING, WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY AND THE COLLECTION, USE, AND/OR SHARING BY SPONSOR OF PERSONALLY IDENTIFIABLE INFORMATION OF THE PARTICIPANTS, OR FOR ANY PRINTING, PRODUCTION, TYPOGRAPHICAL, OR HUMAN ERROR.
  3. LIMITATION OF LIABILITY: IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND INCLUDING, WITHOUT LIMITATION, ATTORNEYS FEES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF, OR RELATED TO, ANY ACCESS TO AND/OR USE OF ANY WEBSITE, THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITE, THE REMOVAL FROM ANY WEBSITE OF, OR DISCONTINUATION OF ACCESS TO, ANY MATERIALS, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ATTENDANCE OR PARTICIPATION IN, ANY GIFT GIVEN IN CONNECTION WITH THE PROMOTION. THE PROMOTION, ALL GIFTS, AND ALL MATERIALS PROVIDED ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PARTICIPANT AGREES THAT IN ANY CAUSE OF ACTION, THE RELEASEES’ LIABILITY WILL BE LIMITED TO THE COST OF PARTICIPATING IN THE PROMOTION TO THE EXTENT PERMISSIBLE BY LAW.
  4. GENERAL RELEASE: By participating, each participant agrees that Sponsor and its respective parent, subsidiary, and affiliated companies, licensees, and assigns and their respective officers, directors, employees, agents, and representatives, shall not be responsible or liable for any losses, damages, or injuries of any kind resulting from participation in the Promotion, or from participant’s acceptance, receipt, possession, and/or use or misuse of any gift. Sponsor assumes no responsibility for any damage to a participant’s computer system which is occasioned by accessing the Sponsor website or participating in the Promotion, or for any computer system, phone line, hardware, software, or program malfunctions, or other errors, failures, delayed computer transmissions, or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen registrations or gift notifications; or for lost, interrupted, inaccessible, or unavailable networks, servers, satellites, Internet Service Providers, video incompatibility, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone, or cable transmissions; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. By accepting a Gift, each Recipient acknowledges that Sponsor has neither made, nor is in any manner responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any gift, including but not limited to its quality, mechanical condition, or fitness for a particular purpose.

Sponsor reserves the right to modify, suspend, or terminate the Promotion if, for any reason, the Promotion is not capable of being executed as planned or if it determines, in its sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures, or malfunctions or other causes beyond Sponsor’s reasonable control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play, and/or feasibility of the Promotion as contemplated herein. If the Promotion is terminated before the end of the Promotion Period and subject to availability, Sponsor may, in its sole discretion, provide the Gifts to early webinar registrants, as of the date/time of termination. Inclusion in the Promotion shall be each participant's sole and exclusive remedy under such circumstances. Only the type and quantity of Gift described in these Official Promotion Rules will be given. The invalidity or unenforceability of any provision of these Official Promotion Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Promotion Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in Official Promotion Rules solely for convenience of reference and shall not be deemed to affect in any manner the meaning or intent of these Official Promotion Rules or any provision thereof.

 

  1. CHOICE OF LAW AND FORUM: Participant agrees that all matters arising out of or relating to this Promotion and these Official Promotion Rules are governed by, and construed in accordance with, the laws of Florida, without giving effect to any of its conflict of laws provisions thereof. Participant further agrees that any legal suit, action, or proceeding arising out of or relating to this Promotion and these Official Promotion Rules shall be brought exclusively in the applicable federal or state courts located in Hillsborough County, Florida.

 

  1. DATA COLLECTION/PRIVACY: Sponsor collects personal information from participants when they enter the Promotion for use in administration of the Promotion. The information collected is subject to the Privacy Policy located at https://www.knowbe4.com/website-privacy-notice. By participating in the Promotion, participants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy. The Sponsor will only use your personal data for the purposes of administering this Promotion, unless you provide consent signifying your agreement to any other processing or use of your personal data. You can withdraw your consent at any time by contacting privacy@knowbe4.com.


Information collected in connection with this Promotion may be shared with the other Sponsor Entities, and in such event, such Sponsor Entities will use such information in accordance with the Sponsor’s Privacy Policy, which may be found at (https://www.knowbe4.com/privacy-policy/). By accepting a Gift, and to the extent permissible by law, each verified recipient hereby grants Sponsor the right, but not the obligation, to the use of her or his name, picture, likeness, voice, address (country, city, and state or province), company name, and any statements made or attributed to such recipient (collectively, “Attributes”) for advertising and promotional purposes in any and all media including, without limitation, on a website owned or operated by one of the Sponsor Entities and in other promotional materials, without further notice, review, or approval, and without further compensation, and releases, discharges, and holds harmless the Sponsor Entities from and against all claims arising out of the use of such Attributes.
