OFFICIAL PROMOTION RULES

(US and Canada, excluding Quebec)

NO PURCHASE NECESSARY. OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES AND CANADA (EXCLUDING QUEBEC) WHO ARE 18 YEARS OF AGE OR OLDER AS OF DATE OF ENTRY. THE PROMOTION IS INTENDED FOR LOCATIONS WHERE PROMOTIONS ARE NOT PROHIBITED BY LAW AND SHALL BE CONSTRUED ACCORDING TO, AND GOVERNED EXCLUSIVELY BY, UNITED STATES LAW AND THE LAWS OF CANADA, WHERE APPLICABLE. DO NOT PARTICIPATE IN THE PROMOTION UNLESS YOU MEET THE ELIGIBILITY REQUIREMENTS SET FORTH BELOW AND ARE PHYSICALLY LOCATED IN THE UNITED STATES OR CANADA (EXCLUDING QUEBEC) AT A LOCATION (STATE, COUNTY, PROVINCE AND CITY) WHERE PROMOTIONS ARE NOT PROHIBITED AT THE TIME OF ENTRY.

1. PROMOTION PERIOD: The entry period for the “KnowBe4 PhishER Request a Demo Promotion” begins on September 6, 2022 at 12:01 a.m. Eastern Time and ends on September 30, 2022 at 5:00 p.m. Eastern Time (the “Entry Period”). By participating in the Promotion, each entrant unconditionally accepts and agrees to comply with and abide by these Official Promotion Rules and the decisions of KnowBe4, Inc. ("Sponsor"), which shall be final and binding in all respects.
2. ELIGIBILITY: Open only to legal residents (must be legally domiciled) in the Fifty (50) United States (including District of Columbia) and Canada (excluding Quebec or residents of locations where Promotion are restricted or not permitted), and who are 18 years of age or older as of date of entry. There is no purchase, cost or other similar future obligation required in order to enter. Employees, consultants, officers, and directors of Sponsor, their respective parent companies, affiliates, subsidiaries, promotion partners or agencies and members of the immediate family or household of anyone so employed are NOT eligible to enter the Promotion or accept a gift. The Promotion is void where prohibited by law.
3. HOW TO ENTER: There are two methods of entering the Promotion as follows:

Entry Method One – Complete the PhishER live demo request form located at https://info.knowbe4.com/phisher-hat. Please note that the registration form includes contact information. By filling out the registration form, you represent that you explicitly consent to the Sponsor contacting you. If you do not consent to the Sponsor contacting you, please do not complete the registration form.  

Entry Method Two – you may send a 3x5 card (one card per entrant per envelope for each entry for this Promotion Period) with the words “KnowBe4 PhishER Request a Demo Promotion” and the valid name, email address, company name, mailing address and contact phone number to: "KnowBe4 'PhishER Request a Demo Promotion”, c/o KnowBe4, Inc., Attention: Legal Department, 33 N. Garden Ave Suite 1200 Clearwater, Florida 33755. By entering in this method, you explicitly consent to the Sponsor contacting you. If you do not consent to the Sponsor contacting you, please do not enter by this method. 

Entrants may use either Entry Method One or Entry Method Two but cannot use both. There is a maximum of one (1) entry allowed per person across all entry methods. If a person enters more than once (for either or both entry methods) then all of their entries will be ineligible. All entries must be received by September 30, 2022 at 5:00 p.m. Eastern Time in order to be included in the Promotion. Entrants are responsible for entries arriving before the  cut-off time and assume all risk of postal delivery delays that might cause entries to arrive too late. One gift per entrant.

Sponsor reserves the right to stop taking entries early and award the Gift (as defined below) to those who have validly entered as of this earlier termination date. Sponsor also reserves the right to extend or modify the Promotion. The Sponsor’s database clock will be the official timekeeper for this Promotion. All entries become the property of the Sponsor and may be used by such without compensation or attribution back to the entrant who submitted the entry. By participating in the Promotion, you are acknowledging and consenting to the unrestricted future use by the Sponsor of your entry. No mechanically reproduced, illegible, or incomplete entries will be accepted. Promotion entries will be deemed null and void and will be rejected if not submitted through authorized, legitimate channels. The use of any device to automate the entry process (other than licensing servers via Entry Method One) is prohibited. NOTE: Entry must be made by the entrant personally. You may not enter the Promotion on behalf of another individual. Entries made by any other individual or any entity, and/or originating at any other website or email address, including but not limited to commercial promotion subscription notification and/or entering services, will be declared invalid and disqualified from this Promotion.

CONDUCT: BY ENTERING AND PARTICIPATING IN THIS PROMOTION, YOU: (A) FULLY AND UNCONDITIONALLY AGREE TO BE BOUND BY THESE OFFICIAL RULES AND BY ALL DECISIONS OF SPONSOR (WHICH DECISIONS SHALL BE FINAL AND BINDING IN ALL RESPECTS), INCLUDING WITHOUT LIMITATION DECISIONS REGARDING ELIGIBILITY, RECIPIENTS AND THE INTERPRETATION OF TERMS USED IN THESE OFFICIAL RULES; (B) REPRESENT AND WARRANT THAT ALL INFORMATION PROVIDED BY YOU IN CONNECTION WITH THE PROMOTION IS TRUE, ACCURATE AND COMPLETE; AND (C) AGREE TO COMPLY WITH ALL FEDERAL, STATE, LOCAL, TERRITORIAL, AND PROVINCIAL LAWS AND REGULATIONS. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND AT ITS SOLE DISCRETION, TO DISQUALIFY AND/OR DEEM INELIGIBLE TO PARTICIPATE IN THIS PROMOTION OR ANY FUTURE SPONSOR PROMOTIONS, ANY INDIVIDUAL IT SUSPECTS: (A) TO BE TAMPERING WITH THE ENTRY PROCESS OR THE OPERATION OF THE PROMOTION OR ANY WEBSITE; (B) TO BE ACTING IN VIOLATION OF THE OFFICIAL RULES OR SPONSOR’S PRIVACY POLICY OR OTHER TERMS, CONDITIONS OR GUIDELINES; (C) TO BE ACTING IN BAD FAITH OR IN A DISRUPTIVE MANNER, OR WITH THE INTENT TO ANNOY, ABUSE, THREATEN OR HARASS ANY OTHER PERSON; (D) TO HAVE FAILED TO AGREE TO THESE OFFICIAL RULES; (E) TO BE IN VIOLATION OF THESE OFFICIAL RULES; OR (F) TO BE IN VIOLATION OF ANY LAWS WITH RESPECT TO THEIR ENTRY INTO THE PROMOTION. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY INTERNET SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION. 

RELEASE AND INDEMNIFICATION: BY ENTERING THE PROMOTION, EACH ENTRANT, FOR ENTRANT AND FOR ENTRANT’S HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS, AND ASSIGNS FOREVER AND IRREVOCABLY RELEASE AND AGREE TO INDEMNIFY AND HOLD THE SPONSOR, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, SHAREHOLDERS, SUCCESSORS AND ASSIGNS (AFOREMENTIONED INDIVIDUALS AND ORGANIZATIONS COLLECTIVELY, “RELEASEES”) HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE PROMOTION, ATTENDANCE OR PARTICIPATION IN ANY PROMOTION- RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY GIFT AWARDED IN CONNECTION WITH THE PROMOTION, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION AND/OR INVASION OF PRIVACY AND THE COLLECTION, USE AND/OR SHARING BY SPONSOR OF PERSONALLY IDENTIFIABLE INFORMATION OF THE ENTRANTS, OR FOR ANY PRINTING, PRODUCTION, TYPOGRAPHICAL, OR HUMAN ERROR. 

LIMITATION OF LIABILITY: IN NO EVENT WILL RELEASEES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, ATTORNEYS FEES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATED TO ANY ACCESS TO AND/OR USE OF ANY WEBSITE, THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITE, THE REMOVAL FROM ANY WEBSITE OF, OR DISCONTINUATION OF ACCESS TO, ANY MATERIALS, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ATTENDANCE OR PARTICIPATION IN, ANY GIFT AWARDED IN CONNECTION WITH THE PROMOTION. THE PROMOTION, ALL GIFTS AND ALL MATERIALS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ENTRANT AGREES THAT IN ANY CAUSE OF ACTION, THE RELEASEES’ LIABILITY WILL BE LIMITED TO THE COST OF ENTERING AND PARTICIPATING IN THE PROMOTION TO THE EXTENT PERMISSIBLE BY LAW.

1. Submissions during the Entry Period are eligible to receive a “KnowBe4 Gone Phishin' Hat” (approximate retail value $5.89 USD) (the “Gift”). Each entrant will only be entitled to one hat. The Gift is non-transferable and may not be sold, redeemed for cash or otherwise substituted except as provided herein. Sponsor reserves the right to substitute a gift of equal or greater value in the event the offered Gift is unavailable for any reason. The total maximum retail value of the Gift in this Promotion is approximately $5.89 USD. The Gift will be awarded provided that it is claimed properly in accordance with these Official Promotion Rules. Recipients shall be solely responsible for all federal, state and/or local income taxes on the gift and any expenses in excess of the gift amount. The gift recipient may be asked to return a complete and accurate W9 form to Sponsor in order to claim their gift. Limit one (1) gift, in total, for this Promotion.
   
   
2. Promotion. The recipient will be notified using the contact information provided during Entry submission and may be required to sign and return a Declaration of Eligibility & Liability Release and where legal, a Publicity Release within five (5) days of notification attempt. Noncompliance within this time period may result in disqualification.
   
   
3. GENERAL RELEASE: By participating, each entrant agrees that Sponsor and its respective parent, subsidiary and affiliated companies, licensees and assigns and their respective officers, directors, employees, agents and representatives, shall not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the Promotion, or from entrants’ acceptance, receipt, possession and/or use or misuse of any gift. Sponsor assumes no responsibility for any damage to an entrant’s computer system which is occasioned by accessing the Sponsor website or participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged or stolen entries or gift notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, video incompatibility, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. By accepting the Gift, each recipient acknowledges that Sponsor has neither made, nor is in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to any gift, including but not limited to its quality, mechanical condition or fitness for a particular purpose.
   
   If a dispute cannot be resolved to Sponsor's satisfaction, the entry will be deemed ineligible and the potential recipient will forfeit the Gift. Sponsor reserves the right to modify, suspend or terminate the Promotion if, for any reason, the Promotion is not capable of being executed as planned or if it determines, in its sole discretion, that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s reasonable control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Promotion as contemplated herein. If the Promotion is terminated before the designated end date, Sponsor will provide the Gift to the eligible submissions as of the date/time of termination. Inclusion in the promotion shall be each entrant's sole and exclusive remedy under such circumstances. Only the type and quantity of gift described in these Official Promotion Rules will be awarded. The invalidity or unenforceability of any provision of these Official Promotion Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Promotion Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in Official Promotion Rules solely for convenience of reference and shall not be deeded to affect in any manner the meaning or intent of these Official Promotion Rules or any provision thereof.
   
   
4. DATA COLLECTION/PRIVACY: Sponsor collects personal information from entrants when they enter the Promotion for use in administration of the Promotion. The information collected is subject to the Privacy Policy located at https://www.knowbe4.com/website-privacy-notice. By participating in the Promotion, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy. The Sponsor will only use your personal data for the purposes of administering this Promotion, unless you provide consent signifying your agreement to any other processing or use of your personal data. You can withdraw your consent at any time by contacting privacy@knowbe4.com.
   
   Information collected in connection with this Promotion may be shared with the other promotion entities, and in such event, such promotion entities will use such information in accordance with the Sponsor’s Privacy Policy, which may be found at (https://www.knowbe4.com/privacy-policy/). By accepting a gift, and to the extent permissible by law, each verified recipient hereby grants Sponsor the right, but not the obligation, to the use of her or his name, picture, likeness, voice, address (country, city and state), company name and any statements made or attributed to such recipient (collectively, “Attributes”) for advertising and promotional purposes in any and all media including, without limitation, on a website owned or operated by one of the Promotion Entities and in other promotional materials, without further notice, review or approval, and without further compensation, and releases, discharges and holds harmless the Promotion Entities from and against all claims arising out of the use of such Attributes.
